• "内容"包括但不限于文本、图像、音频、视频、数据和代码。 "Content" includes but is not limited to text, images, audio, video, data, and code.
• "平台"指我们的网站、应用程序和任何相关技术基础设施。 "Platform" refers to our website, applications, and any related technical infrastructure.

服务说明 Service Description

华品无疆提供以下核心服务： Huapin Wujiang provides the following core services:

1. 平台入驻代卖：为客户提供跨境电商平台入驻及代运营服务。 Platform Entry & Selling: Providing cross-border e-commerce platform entry and consignment services for clients.
2. 店铺搭建协助：协助客户建立自有跨境电商店铺。 Store Setup Assistance: Assisting clients in setting up their own cross-border e-commerce stores.
3. 店铺代运营：为客户提供店铺全链路代运营服务。 Store Operations: Providing full-chain store operation services for clients.
4. AI技术服务：基于AI技术的选品、营销、客服和物流优化服务。 AI Technical Services: AI-based product selection, marketing, customer service, and logistics optimization services.

用户权利与义务 User Rights and Obligations

用户权利 User Rights

• 在遵守本条款的前提下，您有权使用我们提供的服务。 Subject to compliance with these Terms, you have the right to use the Services we provide.
• 您有权随时查看和更新您的账户信息。 You have the right to view and update your account information at any time.
• 您有权根据适用法律要求我们提供有关您个人数据的副本。 You have the right to request a copy of your personal data from us in accordance with applicable laws.

用户义务 User Obligations

费用与支付 Fees and Payment

我们提供多种收费模式，具体取决于您选择的服务： We offer multiple pricing models depending on the services you choose:

• 平台入驻代卖：按销售额阶梯抽成（8%→4%）。 Platform Entry & Selling: Tiered commission based on sales (8%→4%).
• 店铺搭建协助：一次性建店费（8000元起）。 Store Setup Assistance: One-time setup fee (starting at ¥8,000).
• 店铺代运营：基础服务费+销售额提成。 Store Operations: Basic service fee + sales commission.

所有费用均以人民币计算，除非另有说明。我们保留随时调整服务费用的权利，但会提前通知现有客户。 All fees are calculated in RMB unless otherwise specified. We reserve the right to adjust service fees at any time, but will notify existing customers in advance.

知识产权 Intellectual Property

我们拥有并保留对我们服务、平台、技术、商标、标志和所有相关内容的全部知识产权。 We own and retain all intellectual property rights to our Services, platform, technology, trademarks, logos, and all related content.

未经我们明确书面许可，您不得复制、修改、分发或创建我们知识产权的衍生作品。 You may not copy, modify, distribute, or create derivative works of our intellectual property without our express written permission.

保密条款 Confidentiality

双方同意对在合作过程中获取的对方商业秘密、技术信息和客户数据等保密信息承担保密义务。 Both parties agree to maintain the confidentiality of trade secrets, technical information, customer data, and other confidential information obtained during cooperation.

未经对方书面同意，任何一方不得向第三方披露保密信息，除非法律要求或为履行本协议所必需。 Without the written consent of the other party, neither party may disclose confidential information to third parties, unless required by law or necessary to perform this agreement.

责任限制 Limitation of Liability

在法律允许的最大范围内，我们对因使用或无法使用我们的服务而产生的任何间接、附带、特殊或后果性损害不承担责任。 To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our Services.

我们的总赔偿责任不应超过您在引起索赔的服务中支付的总费用。 Our total liability shall not exceed the total fees you have paid for the services giving rise to the claim.

违约与终止 Breach and Termination

如果我们合理认为您违反了这些条款，我们可能会暂停或终止您对服务的访问。 If we reasonably believe that you have violated these Terms, we may suspend or terminate your access to the Services.

您可以通过关闭账户随时终止使用我们的服务。 You may terminate your use of our Services at any time by closing your account.

法律适用与争议解决 Governing Law and Dispute Resolution

本条款受中华人民共和国法律管辖。 These Terms are governed by the laws of the People's Republic of China.

因本条款引起的任何争议，双方应首先通过友好协商解决。协商不成的，任何一方均有权将争议提交至我们所在地有管辖权的人民法院诉讼解决。 Any dispute arising from these Terms shall first be resolved through friendly negotiations between the parties. If negotiations fail, either party has the right to submit the dispute to the competent people's court in our location for litigation.

其他条款 Other Provisions

• 我们保留随时修改这些条款的权利。修改后的条款将在我们的网站上公布后生效。 We reserve the right to modify these Terms at any time. The modified Terms will take effect after being published on our website.
